Terms of Service
Effective January 2026
These Terms of Service (“Terms”) govern your use of the Agent Analytics platform and related services (“Service”) provided by Spinlink Inc., a Delaware corporation (“Spinlink”, “we”, or “us”). By accessing or using the Service, you (“Customer”, “you”) agree to be bound by these Terms.
1. Service Description
Agent Analytics provides server-side tracking and analytics for AI crawler and bot activity on your web properties. The Service includes:
(a) Detection and identification of AI crawlers (including those from OpenAI, Anthropic, Perplexity, Google, Microsoft, Meta, and others); (b) IP range verification against provider-published ranges to confirm bot authenticity; (c) Classification of bot visits (indexing bots vs. on-demand retrieval bots); (d) Real-time log viewing and historical analytics dashboards; (e) Tracking of human referrals from AI platforms (ChatGPT, Perplexity, etc.); (f) Integrations with hosting platforms including AWS, Azure, Vercel, and Cloudflare; and (g) Content submission tools for AI search indices.
We may update or enhance the Service from time to time. We will notify you of material changes that significantly affect functionality.
2. Account and Access
You may use the Service for your internal business purposes during your subscription period. You are responsible for maintaining the security of your account credentials and for all activity under your account. You agree not to: (a) sublicense, resell, or share access; (b) reverse engineer the Service; (c) use the Service to build a competing product; or (d) use the Service in violation of applicable law.
3. Customer Data
Ownership. You retain all rights to data collected through the Service from your web properties (“Customer Data”), including server logs, traffic data, and analytics configurations.
License. You grant us a limited license to process Customer Data solely to provide the Service, including analyzing bot traffic patterns, verifying crawler identities, and generating analytics reports.
Aggregated Data. We may use anonymized, aggregated data that does not identify you or your visitors to improve the Service and develop industry benchmarks for AI crawler activity.
4. Fees and Payment
You agree to pay the subscription fees for your selected plan. All fees are due in advance and are non-refundable unless otherwise stated. Fees exclude applicable taxes, which are your responsibility.
5. Third-Party Integrations
The Service integrates with third-party hosting and CDN platforms (AWS, Azure, Vercel, Cloudflare, etc.). Your use of these integrations is subject to those providers' terms. We are not responsible for third-party platform availability or performance.
6. Intellectual Property
We retain all rights to the Service, including our tracking technology, bot detection algorithms, IP verification systems, and analytics dashboards. These Terms grant you a license to use the Service, not ownership of any underlying technology.
7. Disclaimers
The Service relies on publicly available information (such as AI provider IP ranges and user agent strings) to identify crawlers. While we use commercially reasonable efforts to maintain accuracy, we cannot guarantee complete detection of all AI bot activity. AI providers may change their crawlers without notice.
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPINLINK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
9. Term and Termination
Your subscription continues until terminated. Either party may terminate for material breach if not cured within 30 days of notice. Upon termination, your access ends and you may request export of your data within 30 days.
10. General Provisions
Governing Law. These Terms are governed by Delaware law.
Disputes. Disputes will be resolved by binding arbitration in Austin, Texas.
Changes. We may update these Terms with 30 days' notice for material changes. Continued use constitutes acceptance.
Entire Agreement. These Terms constitute the entire agreement between you and Spinlink regarding the Service.
